Accepting the terms

These Terms and Conditions (the "Terms") represent a legally binding contract between you ("the User") and MAJ Fintech ("we" or "us"). By accessing or using content; services and materials on Akilaah's (the "Platform/Application"), any of the services provided therein (collectively, the "Services") and the materials may include logos, text graphics, videos, images, photos, software and other content (collectively, the "Materials"), you agree that you have read, understood, accept and agree to be bound by these Terms. If you do not agree with any of these Terms, do not access or otherwise use the Services.

PLEASE READ THE TERMS AND CONDITIONS CAREFULLY as they affect Your legal right.

Definitions

"Parties" means both You (the user of the service) and MAJ Fintech of this Service.

"Content" means any content, writing, audio-visual content or other information published on this service.

"Materials" means any material, information or documentation that we may provide to You in connection with Your use of the services including documentation, data, information developed any use and other materials which may assist in Your use of the service.

"Terms" means these terms and conditions.

"Service" means the application, which is known as: Akilaah including all pages, all blogs, forum and other connected internet content whatsoever.

About the Application

The Application is an online web solution, designed to automate the various processes and procedures with a cooperative society that engage in the provision of the following services:

✔ Loan Management
✔ Financial Management
✔ Report Management.

This Application is comprised of various pages operated by MAJ Fintech.

This Service is offered to You upon Your acceptance of the Terms, Conditions, notices hereinafter contained. Your use of this service constitutes Your agreement to all the Terms contained.

Agreement

a. By using this Application, You acknowledge that You have reviewed, considered the Terms of this Agreement and understand same and agree to be bound by it. If You do not agree with these Terms or do not intend to be bound by it, You must quit the use of this Application immediately. In addition, when using this service, You shall be subject to any posted guidelines or rules applicable to such services. Accordingly, any participation in this service shall constitute acceptance of this Agreement.

b. By using this Application and agreeing to these Terms, You represent and warrant that You have the legal capacity to accept these Terms.

Acceptable Use

a. We may provide You with other items in connection with Your use of this service.

b. We hereby grant You the license to use our service for Your personal, non-commercial use to retrieve, display and view the content on a computer screen.

c. The license created under these Terms is limited, non-exclusive, non-transferable and revocable.

d. You agree that You will not use the Contents or Materials for any other purpose which may be contrary to your license to use this service.

e. Any unauthorised use by You shall terminate the permission or license granted by this Application.

Prohibited Use

a. You are expressly prohibited from collecting, downloading, copying or otherwise communicating with other Users from this Application.

b. You agree not to use this Service in the following manner:

i. To harass, abuse, threaten others, or otherwise violate any person's legal rights.
ii. To perpetuate fraud.
iii. To create or transmit unnecessary spam to any person or URL;
iv. To post, transmit or cause to be posted or transmitted, any communication on solicitation designed to obtain password, account, or private information of other users or persons.
v. To post copyrighted content
vi. that does not belong to You without obtaining the author's prior consent.
vii. To use robot, spider, scraper, or other automated means to access this service without obtaining the prior consent of MAJ Fintech.
viii. To engage in or create any unlawful gambling, sweepstakes, or scheme.
ix. Publishing or distributing any obscene or defamatory material.
x. Using this service in any way that impacts user access to the Application.
xi. Disseminating computer viruses or other software.
xii. Violating any intellectual property rights of MAJ Fintech or any third party.
xiii. To use the Application or any of the services for illegal spam activities.

c. Additionally, you agree that You will not do as follows

i. Interfere or attempt to interfere with the proper working of this Application
ii. Bypass any measures we may use to prevent or restrict access to this Application
iii. To interfere with or circumvent the security features of this Service.
iv. To damage, disable, overburden or impair this service or any other person's use of this Service.
v. To use this service contrary to the applicable laws and regulations or in a way that causes, or may cause harm to this Application, any person or business entity. We reserve the right to terminate Your use of the services for violating any of the prohibited uses.

This list of prohibitions provides examples and is not exhaustive or exclusive. MAJ Fintech reserves the right to terminate your ability to use the Services with or without cause and with or without notice, for any reason or no reason, or for any action that MAJ Fintech determines is inappropriate or disruptive to the services or to any other user of the services. MAJ Fintech may report to law enforcement authorities any actions that may be illegal, and any reports it receives of such conduct. When legally required or at MAJ Fintech's discretion, MAJ Fintech will cooperate with law enforcement agencies and regulatory bodies in any investigation of alleged illegal activity on the services or on the internet.

You agree to indemnify and hold MAJ Fintech and its officers, directors, employees, consultants, affiliates, agents, licensors, and business partners (collectively, the "Indemnified Entities") harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees and costs of defence) MAJ Fintech or any other Indemnified Entity suffers in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party that your use of the Services or the use of the Services by any person on your behalf, violates any applicable law or regulation, or the copyrights, trademark rights or other rights of any third party.

Registration

To use our Platform, you have to create an account by registering. To register, you will provide us with certain information that personally identifies you, such as your email, first name, last name, and phone number. We may seek to verify your information (by ourselves or through third parties), after which we will approve your account unless deemed risky to our business. You permit us to do all these. You have the right to refuse to authorise the use and/or disclosure of your Personal Information. However, if you choose to exercise this right, you may not be able to utilise some features of the Services we provide.

Some aspects of the Services or their entirety may not be available in all locations, and we may block access to some or all of the Services from certain locations based on your device's geolocation information. We may add to or remove the areas in which the Services are or are not available, are partially or fully available, at any time, without notice to you. Our site is intended principally to facilitate value realisation of business assets. No information on this website is intended to amount to advice, recommendation, or inducement to participate in any trade or deal with any User.

Where necessary, Users must seek professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site. In particular, please note that we are a technology business. We do not provide trade or financial advice of any kind. We, therefore, disclaim to the fullest extent possible under law, liability in relation to the foregoing.

Intellectual Property Ownership

a. You agree that we retain ownership of all content included on the Application (text, graphics, video, software, data, page layout, images, and any other information capable of being stored in a computer) other than the contents uploaded by users.

b. You are granted a limited license only, subject to the restrictions provided in this Terms, nothing on this Application shall be construed as granting any license or right to use any trademark or logo displayed on the Application without obtaining the prior written consent of MAJ Fintech.

c. You hereby agree not to reproduce or distribute MAJ Fintech's intellectual property or use the intellectual property for any unlawful purpose.

User Account

a. You may be required to register with us to have access to our service.

b. You will be required to provide certain personal information, which includes but not limited to Your name, username, email address and password. The information provided must be correct and accurate.

c. This personal information must not be disseminated to anyone and You discover that Your information has been compromised, You agree to notify us immediately. You also acknowledge that You are responsible for the security of Your personal information and that MAJ Fintech does not accept liability for the security of Your account as You agree to be responsible for maintaining the confidentiality of Your passwords or other account identifiers which You choose and all activities under Your account.

d. MAJ Fintech reserves the right to terminate Your account where You have provided false, inaccurate, or incorrect information.

e. It is at the sole discretion of MAJ Fintech to terminate the account to terminate the account or refuse to sell any services to any user at any time and for any reason.

Our privacy policy explains how we treat Your personal data and protect Your privacy when You use our service. By using our service, You agree that MAJ Fintech can use such data in the manner described in OUR PRIVACY POLICY [insert link to privacy policy]

Conditions of Use

If you arrive at the Site through entities linked and/or integrated with Akilaah or otherwise by or through a third party (e.g., an auction, exchange, or Internet-based intermediary that hosts electronic marketplaces and mediates transactions among businesses), then you authorise such third party to transfer relevant data to Akilaah to make use of the Services.

You accept and acknowledge the following conditions to access and use the Platform and any Services:

You are over the age of 18;
You only use the Platform and Services for lawful purposes and not for Prohibited Transactions; and you represent that you have the capacity to form a binding contract in your jurisdiction;
You have the authority to bind any business on behalf of which you use our Platform;
You register a Akilaah Account;
You have the necessary equipment and access to the internet;
You must provide us with accurate personal and contact information and not share your personal information with other Users;
You will only represent yourself and will not create false aliases or impersonate any other person or entity (with or without their consent) in connection with the Platform;
You are duly authorised to enter into this Agreement on behalf of any User to bind the User and that such User is a natural person of at least eighteen (18) years of age.
You are not breaking any law by accessing or using this Platform or the Services.

Electronic Communications

You consent to receive electronic communications and You agree that all agreements, notices, disclosures and other communications we provide to You electronically, via email and on this Application, satisfy any legal requirements that communications must be in writing.

Reverse Engineering and Security

You hereby agree as follows:

i. Not to reverse engineer or permit the reverse or permit the reverse engineering or dissemble any code or software form or on the Application or services; and
ii. Not to violate the security of the Application or other services through any unauthorized access, circumvention of encryption or other security tools, data mining or interference with any host or User or network.

Change to Service

a. You accept that MAJ Fintech may vary, alter, amend, or update the Content or service, services at any time and without Your consent.

b. You also agree that the services may not be available at all times and this may be as a result of the maintenance or for any other reason and we shall not be held liable for the failure to provide this service.

Indemnification

You hereby agree to indemnify MAJ Fintech, its employees, agents; and third parties from and against all liabilities, cost, demand, cause of action, damages, and expenses (including reasonable attorney's fees) arising out of Your use or inability to use, Your violation of any rights of a third party and Your violation of applicable laws, rules or regulation.

No Warranties

You agree that You use this Application solely at Your risk as MAJ Fintech does not warrant the accuracy of the contents in this Application. You assume all the risk of viewing, reading, or downloading the contents of this Application. MAJ Fintech expressly disclaims all express and implied warranties such as implied warranty of merchantability as MAJ Fintech makes no warranties that the Application or other services will be accurate, error free, secure, or uninterrupted.

MAJ Fintech makes no warranty about the suitability, reliability, availability, timeless and accuracy of the information, contents, services, and other materials contained herein for any purpose. MAJ Fintech hereby disclaims all warranties and conditions regarding the information software, products, related graphics and materials, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

You also agree that MAJ Fintech and its affiliates shall not be liable for any direct, indirect punitive and all consequential damages or any damages whatsoever including but not limited to damages for loss of use, data or profits, the failure to provide services for any information, software, services related graphics and materials obtained through this Application, or otherwise arising out of the use of this Application, whether based on contract, negligence, strict liability, or otherwise.

Disclaimers

You expressly agree that your use of the Services is at your sole risk. The Services are provided on a strictly "as is" and "as available" basis. MAJ FINTECH MAKES NO WARRANTY WITH REGARD TO THE UNDERLYING TRANSACTION, ANY ITEMS OBTAINED BY YOU THROUGH THE USE OF THE SITE OR THE SERVICES, THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES OR THE SITE WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE.

MAJ Fintech expressly disclaims any and all express and implied warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. MAJ Fintech shall not be liable or responsible for those guarantees, warranties, and representations, if any, offered by any Seller of items. No advice or information, whether oral or written, obtained by you from MAJ Fintech or through the Services shall create any warranty not expressly made herein.

You acknowledge and agree that MAJ Fintech does not endorse the website of any third-party or assume responsibility or liability for the accuracy of any material contained therein, any infringement of third-party intellectual property rights arising therefrom, or any fraud or other crime facilitated thereby. In no event will MAJ Fintech be liable for any act or omission of any third party, including, but not limited to, your financial institution, any payment system, any third-party service provider, any provider of telecommunications services, Internet access or computer equipment or software, any mail or delivery service or any payment or clearing house system or for any circumstances beyond MAJ Fintech's control (including but not limited to, fire, flood or other natural disasters, war, riot, strike, terrorism, an act of civil or military authority, equipment failure, computer virus, infiltration or hacking by a third party, or failure or interruption of electrical, telecommunications or other utility services).

Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, NEITHER MAJ FINTECH NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL, RELATING TO YOUR USE OF THE SITE OR THE SERVICES OR YOUR INABILITY TO USE THE SITE OR THE SERVICES.

Digital Identification

You understand and agree that MAJ Fintech will create, issue, and verify a digital identification (a "Digital ID") for each User. This Digital ID is attached to each accepted electronic document and notification e-mail. You agree that your Digital ID is a valid "Electronic Signature."

Service Interruptions

MAJ Fintech may from time to time interrupt Your access or use of this Application to perform some maintenance or emergency services and You agree that MAJ Fintech shall not be held liable for any damage, loss which may arise thereof.

Termination/ Restriction of Access

MAJ Fintech reserves the right to, at its sole discretion, terminate Your access to this Application and the related service or any part thereof at any time, for any reason and without notice.

MAJ Fintech shall have the right to terminate or terminate/suspend Your account for violating the Terms of this Services.

If you register with us, You may terminate this service at any time by issuing a prior notice to us. Once this is done, You will no longer be bound by the provisions of this Terms.

Modifications

As our technology evolves, we may need to update, modify, or amend our Terms of Use, tools, utilities, or general updates. We reserve the right to make changes to this Terms of Use at any time without notice to you.

Please check this page often, referring to the date of the last modification on the page to ensure you are familiar with the current version of the Terms of Use. If a User objects to any of the changes to the Terms of Use, the User must cease using our Website and/or Services immediately

Notices

Notices from MAJ Fintech to you will be given by e-mail or by general posting on the Site. You may contact MAJ Fintech by filling out the customer support form or such other email address as MAJ Fintech posts as its address for notice on the Site in the most recent version of the Terms of Using the Platform

General Provisions

a. Assignment: MAJ Fintech may assign this Agreement to any current or future affiliated company and to any successor in interest. MAJ Fintech also may delegate certain of MAJ Fintech's rights and responsibilities under the Agreement to independent contractors or other third parties. , You shall not be permitted to assign, transfer any rights and or obligation under these Terms.

b. Entire Agreement: These Terms, disclaimers and any other agreement relating to the use of this Application constitute the entire agreement and shall supersede any other agreement.

c. Separate Agreement: You may have other legal agreements with us. These agreements are separate from these Terms. These Terms are not intended to alter, amend, revise, or replace the terms of the other agreement.

d. In the event of any dispute, claim, question, or disagreement arising from or relating to, this Agreement or to the Underlying Transaction, or breach of any of them, you agree to resolve such dispute in the manner set forth in these Terms.

e. This Agreement shall be governed by the laws of Nigeria. If a dispute or difference arises under this Agreement, such dispute or difference shall be settled amicably by the parties within 20 (twenty) days of notification t of the existence of a dispute or claim.

f. If any such dispute is not settled amicably within 20 (twenty) days, then such dispute or claim shall be settled by mediation under the rules applicable at the Lagos State Multi-Door Courthouse (LMDC).

g. A single mediator shall be appointed jointly by the Parties within 3 (three) days of the expiry of the 20 (twenty) days reserved for an amicable settlement, failing which, the LMDC shall appoint the mediator.

h. MAJ Fintech's failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by MAJ Fintech in writing.

i. If any term or other provision of this Agreement is invalid, illegal or incapable of being enforced by any law or public policy, all other terms and provisions of this Agreement shall nevertheless remain in full force and effect for so long as the economic or legal substance of the transactions contemplated hereby is not affected in any manner materially adverse to any party hereto.

j. If you are a registered User of the Site, then each time you request the Services will constitute your agreement to these Terms of Using the Platform, as amended from time to time in MAJ Fintech's sole discretion, and evidence that you have read, understood, and accepted the then applicable Terms of Using the Platform.
